The Company with the name GPATNET LLC , with offices at 412 W 7th Street City Clovis U.S. or U.S. Territory United States State New Mexico ZIP Code 88101 and the CUSTOMER with the data shown in the field” Customer-Title” of the invoice do promise and agree as follows:

The Company with the name GPATNET LLC grants to the CUSTOMER a nonexclusive right and license to use the Software 4PHYSIO on the number of …… computers ,with a license fee as identified on the relevant invoice ,after the customer’s demand ,in accordance with the terms and conditions which are included in the agreement herein

The software 4 physio remains in the exclusive ownership of its creator “GPATNET LLC” as the holder of the entire rights regarding the software 4 Physio and has the exclusive authority to provide the customer with the right to use the software in his premises, paying the license fee , as it is identified in the invoice of purchase under the following conditions:

1. Terms of use

α) The customer acknowledges that the ideas and the expressions contained in the software and every part of it ( additionally in all modifications and additions to it) and its appendices constitute confidential information and exclusive ownership of the company GPATNET LLC.

b) The customer agrees and grants to the company GPATNET LLC that he obtains the rights which are provided to him in this software through this document, solely for his own use, as it is clearly stated herein. The customer cannot permit directly or indirectly to any third party except for the members of the customer’s staff, who need to use the software for the sake of their work, to access or use the software or part of it.

c) The customer has the right of using the software only in the computers stated in the license herein.

d) The customer is not entitled to copy or reproduce the software or any relevant bibliography or documents in a different way and he will not permit or cooperate in conducting such actions with third parties, even in the case that this copying or reproduction is conducted, for the use of the software by more members of the customer’s staff. In the case that more copies of the software may be produced by the customer in any way, they will be also subject to the conditions herein

e) The customer is not entitled to assign the present agreement to anyone/ or transfer, concede, encumber or dispose otherwise the rights in the software or any other material ,copy or modifications of it ,to any third party, either person or body corporate.

f) The customer is not allowed to adapt, translate, analyse the software in its parts or create derivatives from it. In addition, he is not allowed to modify, adapt, translate, analyse the software in its parts or create derivatives from it, based on the physical copy

g) The creator of the software GPATNET LLC reserves all legal rights against anyone who may purchase, sell, resell or use in any way illegal copies of the software.

 

2. Duration-End of use

α) The customer does not purchase the software( unconstrained code) 4 physio, but it is supplied free of charge ,only in order to have the right to use the software xxxxxxxxxxx from the date that the relevant invoice is issued to the customer

b) All terms of the agreement herein are valid for ten (10) years.

3. Additional services

The installation of the software is undertaken by the company «GPATNE LLC» up to 4 positions of work of the customer and 2 hours of distant training on the use of the software to the specific users of the software, free of charge.

During the use of the software, as defined in the agreement herein,the technical support provides the services which follow

3.1 Reply on the telephone calls, during working hours and days( Monday to Friday, hours 09.00-17.00) regarding information or questions on the most effective use of the software. However ,this service does not constitute training of using the software.

3.2 Additionally, the repair of error in the software is undertaken as long as the company exists and throughout the duration of the license of the software 4PHYSIO by the customer, only if this error is provably due to the the company «GPATNE LLC» and in accordance with what is stated in the article 4 of the agreement below. It is explicitly agreed that this service does not include any work on the hardware of the customer.

The intervention of the technical support for the software takes place remotely, in cooperation with the customer.

3.3 Supply the customer with any updates , free of charge, at the period of time that the license of use is valid, provided that updates have been published.

3.4 Excepting paragraph 3.2 above, the company«GPATNET LLC» has no obligation to the customer, if the customer:

α) Does not perform backup regularly

b) Uses the software on a computer, which does not fulfill the necessary specifications that the publisher of this software has set.

c) Uses the software, not conforming to the instructions , which are in the manuals of the software.

d) Alters the computer system in which the software runs, without the prior written permission of the software creator

e) Uses office supplies , which do not fulfill the necessary specifications, that the constructor of the computer has set.

f) Allows interventions in the software by people not authorized by GPATNET LLC for the specific work.

g) If damage of the computer or wear of the magnetic means or power failure or voltage drop is ascertained.

The creator of the software will provide services of restoring damages and problems of the customer , which have been caused due to non conforming to the terms of use stated above, provided that the restoration is possible ,calculating the cost of the service in each case
